1. Who We Are

Mindgrads is an AI-powered academic writing assistance platform operated by NEXAPHAZE LTD, a company registered in England and Wales under company number 15607406, with its registered office at Flat 15, Chancery House, Lowood Street, London, England, E1 0BU ("Mindgrads", "we", "us", "our").

2. Acceptance of These Terms

By creating an account or using any part of the Mindgrads platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the platform.

Mindgrads provides individual user accounts only and is not affiliated with or approved by your educational provider.

3. Eligibility and Account Responsibility

Mindgrads is a general academic productivity service. You must use it in accordance with the laws applicable to you and provide accurate account information.

A person purchasing a paid plan must have authority to use the selected payment method and enter into that transaction. Nothing in these Terms removes consumer or privacy rights that cannot lawfully be excluded under the laws applicable to you.

4. Responsible Use and Academic Integrity

Mindgrads is an academic writing assistance tool. It is designed to help you plan, structure, draft, cite, and review your work. You remain fully responsible for the content you submit to your institution and for complying with your institution's academic integrity, AI use, and plagiarism policies.

Mindgrads does not endorse or facilitate:

• Contract cheating or submission of work that is not your own
• Plagiarism or misrepresentation of AI-assisted content as unaided work
• Any violation of your institution's academic misconduct policies

We actively support responsible use. You must use the platform to aid your own learning process, not to circumvent academic assessment. The drafting, rewriting, and citation tools within Mindgrads are writing aids - the academic thinking, argument formation, and final editing responsibility remains with you.

Where your institution has a specific AI use policy, you are responsible for obtaining guidance from your institution before using AI-assisted features.

5. Prohibited Uses

You must not use Mindgrads to:

• Submit AI-generated content as entirely your own unaided work where this is prohibited by your institution
• Impersonate any person or misrepresent your identity or institutional affiliation
• Violate any applicable law, regulation, or institutional policy
• Circumvent, disable, or interfere with platform security features
• Upload or transmit malware, viruses, or malicious code
• Upload or generate hate speech, discriminatory content, or material that is illegal under UK law
• Attempt to reverse-engineer, copy, or exploit the platform's proprietary technology
• Resell or sub-licence access to the platform without our written consent

We may suspend or permanently terminate your account if we determine that these Terms have been breached. We will ordinarily provide notice, except where suspension is necessary for security or legal reasons.

6. Plans, Billing, and Credits

6.1 Subscription Plans

Mindgrads offers subscription plans on a monthly billing interval, plus a Free tier. Annual checkout is not currently offered for new purchases; any existing annual subscription continues until the end of its term. Paid plans renew automatically at the end of each billing cycle unless cancelled. By subscribing, you authorise us to charge the applicable fee to your payment method at the start of each billing period.

Current plan prices (inclusive of applicable VAT):

Prices shown are indicative. The exact amount charged will be confirmed at checkout in your local currency via Stripe, which is the authoritative source for regional pricing, currency, and applicable tax. International prices are updated periodically and may vary with exchange rates.

6.2 Regional Pricing

Mindgrads serves students globally. When you register or select your region, pricing will be displayed in your local currency. The following regional pricing applies at launch (subject to periodic review):

All prices include applicable local taxes (VAT, GST, or equivalent) where Mindgrads is required to collect them. Tax treatment may vary by region and will be confirmed at checkout.

6.3 AI Credits

AI credits meter your usage of model-backed features (such as paragraph generation, document analysis, and research tools). Credits are allocated per billing period and work as follows:

• Monthly plan credits reset at the start of each new billing period and do not roll over
• Where an annual subscription is active, credits for that annual period are granted as a prepaid allocation covering the year (monthly plan allowance × 12)
• Unused monthly credits expire at the end of the billing period
• Purchased top-up credit packs are applied after your plan credits are exhausted
• Top-up credits expire 12 months from the date of purchase
• Credits used are non-refundable once consumed by a platform action

6.4 One-Off Top-Up Packs

Top-up packs are non-refundable after credits have been used. Unused packs may be refunded within 14 days of purchase where no credits have been consumed (see Section 7).

7. Cancellation and Refund Policy

7.1 Rights Applicable to Your Purchase

Cancellation, cooling-off, immediate-performance, digital-content, and refund rights vary by location. Before payment, we show the disclosures and confirmations configured for your confirmed service country. Those disclosures supplement these global Terms and do not remove mandatory local rights.

Checkout is unavailable where Mindgrads has not completed the required market, payment, and tax review.

7.2 How to Cancel

You may cancel your subscription at any time from the Billing page in your account (Settings > Billing & Credits), or from the Stripe billing portal linked on that page. You may also contact us at support@mindgrads.com. Cancellation takes effect at the end of the current billing period. You will retain access to your paid plan features until that date.

Cancellation on its own does not entitle you to a pro-rata refund for unused days within a paid period, except as required by law or as stated in section 7.3 below.

7.3 Refund Eligibility

14-day usage-aware refund. Within 14 days of your first payment for a subscription you may request a refund directly from the Billing page. If you have not used any of the AI credits included with that payment, you receive a full refund. If you have used some of them, we refund the value of the credits you have not used, calculated at the price you actually paid per credit. Requesting this refund cancels the subscription immediately.

Outside that window, we will issue a refund in the following circumstances:

• You exercise a cancellation or cooling-off right that applies in your service country
• You are charged in error (e.g. following confirmed cancellation)
• The service is materially unavailable for a prolonged period due to our fault
• You are entitled to a refund under the Consumer Rights Act 2015 (e.g. the service is not as described)

To request a refund outside the 14-day window, contact support@mindgrads.com with your account email and reason for the request. We aim to respond within 5 working days. Approved refunds are processed via your original payment method within 10 working days.

Nothing in this section limits mandatory statutory rights, including any cooling-off right that applies in your service country. Where a statutory right gives you more than the policy above, the statutory right applies.

7.4 Annual Plan Cancellation

Annual plans may be cancelled at any time. Cancellation stops renewal; you retain access until the end of the annual term. No pro-rata refunds are provided for the remaining months of an annual plan unless the service has materially failed as described in 7.3.

8. Intellectual Property

You retain ownership of all content you upload to Mindgrads, including briefs, source documents, and notes. By uploading content, you grant NEXAPHAZE LTD a limited, non-exclusive, royalty-free licence to process, store, and display your content solely for the purpose of providing the platform services to you.

The Mindgrads platform, including its branding, technology, software, design, and training data, is the proprietary property of NEXAPHAZE LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the platform without our written consent.

AI-assisted outputs generated through the platform using your inputs are not claimed by us. However, you should be aware that AI outputs may not be copyrightable in all jurisdictions (including the UK) without sufficient human authorship. You are responsible for reviewing and substantially editing AI-assisted content before submission.

9. Data and Privacy

Our collection and use of your personal data is governed by our Privacy Policy, available at mindgrads.com/privacy. By using the platform, you agree to our data practices as described therein. Key points include:

• We do not sell your personal data
• Document content processed by AI features is sent to third-party AI providers (Anthropic, OpenAI, Google, Perplexity). The data processing agreement and transfer mechanism relied on for each is recorded in our subprocessor register; we do not represent a provider as contractually restricted unless we hold current evidence for it
• Your data is processed in accordance with UK GDPR
• You have rights of access, correction, deletion, and portability over your data

10. Limitation of Liability

The Mindgrads platform is provided "as is" and "as available". To the fullest extent permitted by applicable law:

• We do not guarantee that the platform will be uninterrupted, error-free, or free from viruses or harmful components
• We are not liable for indirect, consequential, incidental, special, or punitive damages arising from your use of the platform
• We are not liable for the academic consequences of your use of AI-assisted content, including misconduct findings
• Our total aggregate liability to you is limited to the amount you paid to us in the 12 months immediately preceding the event giving rise to the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under English law.

11. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or prominent in-app notice at least 14 days before the changes take effect. Minor changes (such as formatting or clarifications that do not affect your rights) may be made without prior notice.

Your continued use of the platform after the notice period constitutes your acceptance of the updated Terms. If you do not accept the changes, you may cancel your subscription before they take effect.

12. Complaints and Dispute Resolution

If you have a complaint about the platform or our services, please contact us first at support@mindgrads.com. We will acknowledge your complaint within 2 working days and aim to resolve it within 10 working days.

If your complaint is not resolved to your satisfaction, you may refer the matter to an alternative dispute resolution provider or to the courts. We are not currently registered with a specific ADR body but will provide reasonable assistance in resolving disputes informally.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms (including any question regarding their existence, validity, or termination) shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer located in Scotland or Northern Ireland, you may also bring proceedings in the courts of Scotland or Northern Ireland respectively.

14. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right does not constitute a waiver of that right. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mindgrads with respect to the platform.
